Hong Kong Listed Company Directors’ CPD Training

CPD Certificate Programmes for Listed Company Directors
(HKEX requirements):-

HKIoD is the professional body providing “Directors’ Continuing Professional Development Programmes” for listed companies in Hong Kong.

Our training programmes are suitable for the following groups of attendees:

  • existing listed company directors
  • first-time directors
  • to-be directors
  • overseas directors, who are preparing themselves to become Hong Kong listed company directors

HKEX Annual directors training Requirement

  • It is mandatory for all directors of issuers on the Exchange to undergo annual director training.  The Exchange has specified five topics that annual director training must cover, as a minimum.
  • (a) Roles, functions and responsibilities of the board, its committees, directors and board effectiveness
    (b) Issuers obligations and directors duties under Hong Kong law and the Listing Rules, as well as relevant legal/regulatory updates
    (c) Corporate governance, ESG matters, sustainability, and climate-related risks/opportunities
    (d) Risk management and internal controls
    (e) Industry-specific developments, business trends, and strategies relevant to the issuer
  • Directors should consider the appropriate mode of training for each specified topic. While internal training may be more relevant or appropriate for certain industry or issuer-specific topics, training on topics such as the regulatory and legal responsibilities of boards and directors may be better delivered by external training providers.
  • While there is no mandatory minimum number of training hours for annual director training, directors should consider their personal training needs and receive sufficient training to equip them to properly discharge their duties. As a reference, training hours required for members of industry associations (e.g. The Hong Kong Institute of Directors) range from 10 training hours per year.

First-time Director training

  • First appointment directors to the board of a listed issuer must ensure that they sufficiently familiarise themselves with the legal and regulatory requirements of their roles and obtain relevant knowledge to contribute to the board effectively. Minimum hours requirement: 24 training hours within 18 months of appointment.
