Angel is one of the members who built up our corporate finance practice. She specializes in initial public offerings (IPO) and she has advised many listing applicants and sponsors in listings on the Main Board and GEM of the Hong Kong Stock Exchange. In few years’ time, Angel has successfully completed more than 25 IPO projects, including the listing of H-share enterprises, red-chip companies, Hong Kong local companies and overseas enterprises, etc.

Angel has experience in a wide range of corporate and commercial matters, including pre-IPO restructuring and financing, IPO, secondary financing, overseas listing, mergers and acquisitions, loan and financing transactions, licensing and registration under the Securities and Futures Ordinance, corporate governance and general compliance for listed companies as well as private enterprises.

Angel has advised several sponsor firms on their applications for licence to carry out Type 6 (Advising on Corporate Finance) regulated activities under the Securities and Futures Ordinance and their compliance matters. In addition, Angel is leading a team to provide legal services to number of listed companies under annual retainers.

Anderson obtained his master’s degree in corporate law from the University of Cambridge, with First Class Honours in all subjects, ranking first in his year. Anderson frequently advises international corporations and insolvency practitioners on contentious insolvency matters across multiple jurisdictions.

In particular, he has acted for and assisted listed companies, financial institutions, liquidators, provisional liquidators, receivers and trustees across a full spectrum of court applications and legal proceedings, such as creditor’s compulsory winding-up (from issuance of statutory demand to appointment of liquidators), enforcement actions in relation to securities, recognition of appointment of foreign liquidators, and scheme of arrangement/individual voluntary arrangement.

Furthermore, Anderson regularly advises corporations and high net worth individuals on a wide range of domestic and crossborder disputes concerning contractual and construction claims, shareholders’ disputes, breach of trust, cross-border contentious probate, and enforcement of foreign judgments. Specifically, urgent court applications such as injunction, charging order, appointment of provisional liquidators or equitable receivers, and pre-action discovery are all within his areas of practice.

Anderson also has considerable experience in arbitration, including but not limited to conducting arbitration proceedings at the HKIAC, SHIAC and other arbitral centres in the PRC, assisting PRC counsel to apply for assets preservation order in the PRC in aid of arbitration proceedings in Hong Kong, making applications to the Hong Kong Court to set side or enforce foreign arbitral awards.
